A firm can adopt or newly devise the standard set of Articles of Association in Table A of the Companies Act of Sri Lanka. The fees are expensive for formulating new Articles of Association compared to that of embracing the standard articles. The Articles of Association is to be handed-over in duplicate to the Department of the Registrar of Companies coupled with the rest of the relevant documents for incorporation. There is no necessity for the approval in advance for the Articles of Association from the Registrar General. As per the new Companies Act, notaries are no more needed to observe the signing of the articles of association. According to the new Companies Act, it is not anymore needed to affirm the Principal Directors and the status of the registered office of the firm within fourteen days of incorporation. Also the common seal is deemed optional.
